Merchant terms & conditions.

These Merchant Terms and Conditions (the "Agreement") govern the access to and use of the EnterPay platform and related services by the merchant or business entity registering to use the services ("Merchant", "you", "your").

This Agreement is entered into between EnterPayment OÜ, a private limited company incorporated under the laws of the Republic of Estonia, with its registered office at Rahumäe tee 6b-67, Kristiine linnaosa, 13415 Tallinn, Estonia, registered under company registration number 17391111 ("EnterPay", "we", "our", "us").

/ 01Definitions

/ 02Nature of services

2.1 EnterPay provides technology and software services only, enabling Merchants to accept cryptocurrency payments through integrations with Third-Party Providers.

2.2 EnterPay is not a bank, payment institution, electronic money institution, crypto exchange, money transmitter, or custodian of funds or digital assets. For the avoidance of doubt, EnterPay does not hold any VASP, CASP, EMI, or payment-institution licence in its own name, and all licences and regulatory registrations connected to the regulated activities belong to the licensed Third-Party Providers.

2.3 EnterPay does not hold, control, transmit, or safeguard Customer or Merchant funds at any time.

2.4 All regulated activities are performed exclusively by licensed Third-Party Providers.

/ 03Regulatory status

3.1 EnterPay is a software and technology provider. EnterPay is not licensed or registered as a money services business, virtual asset service provider, payment institution, electronic money institution, or any other regulated financial entity, and does not itself carry out any regulated activities.

3.2 All regulated activities — including cryptocurrency processing, custody, exchange, and fiat settlement — are performed exclusively by licensed and regulated Third-Party Providers, each of which holds and maintains the registrations and licences applicable to the services it provides.

/ 04Merchant onboarding & KYB

4.1 In order to receive, withdraw, or off-ramp any funds, the Merchant must complete a full Know Your Business (KYB) verification process through the EnterPay Merchant user dashboard.

4.2 No settlement, payout, or off-ramp of funds shall be processed until KYB has been fully completed, approved, and validated.

4.3 EnterPay reserves the right to request additional or updated KYB documentation at any time.

4.4 KYB and AML/KYC determinations are performed by our licensed compliance partner, Didit (didit.me), and by other licensed Third-Party Providers as applicable. Approval or denial of any check, and all liability for that outcome, rests with the partner making the determination and not with EnterPay.

/ 05Merchant obligations & acceptable use

5.1 Merchants shall use the Platform solely for lawful commercial activities.

5.2 Prohibited activities include:

/ 06POS terminals & platform access

6.1 Purchased terminals. Where the Merchant purchases a POS terminal outright, title to the terminal passes to the Merchant upon receipt of payment in full. The Merchant is responsible for the terminal's care, insurance, repair, and replacement thereafter. Platform access via a purchased terminal remains subject to this Agreement.

6.2 Subscription terminals. Where a POS terminal is provided as part of a subscription plan, the terminal remains the property of EnterPay or its designated supplier. The Merchant assumes full responsibility for the security, care, and proper use of each subscription terminal from delivery until return.

6.3 If a subscription terminal is lost, stolen, damaged beyond normal wear and tear, or rendered inoperable due to misuse or negligence, the Merchant shall pay a replacement fee of up to EUR 500 per terminal. This clause does not apply to purchased terminals.

/ 07Transactions & settlement

7.1 Each Transaction generates a unique Wallet held by the relevant licensed Third-Party Provider. EnterPay never takes custody of crypto or fiat funds.

7.2 Transactions are considered completed only after the required number of blockchain confirmations.

7.3 Settlement timing and availability are determined solely by Third-Party Providers.

7.4 Off-ramping of funds is strictly conditional upon successful completion of full KYB verification. EnterPay shall have no liability for delays resulting from incomplete or pending KYB checks.

/ 08Fees & pricing

8.1 Fees applicable to the Merchant may include subscription fees, hardware-related charges, and Merchant-side off-ramp fees, in each case as set out in the applicable Commercial Annex and on the published Pricing page. Conversion fees and network fees are borne by the paying Customer. EnterPay does not charge Merchants transaction-based commissions on crypto payments, and does not charge setup or onboarding fees unless expressly agreed in a Commercial Annex.

8.2 Customer conversion fees range from 1.5% to 2% of transaction value, plus network fees; network fees are variable, based on blockchain network usage and congestion, and are borne by the Customer (payer).

8.3 An off-ramp fee ranging from 1.5% to 2% applies to the fiat settlement paid to the Merchant's designated bank account and is charged to the Merchant; the applicable rate is region-dependent.

8.4 EnterPay may modify pricing with at least 30 days' prior notice.

8.5 All fees are non-refundable unless expressly stated otherwise.

/ 09Refunds, chargebacks & reversals

9.1 Refunds are issued by the Merchant directly to the Customer. EnterPay does not hold Customer funds and does not process, fund, or administer refunds on the Merchant's behalf.

9.2 EnterPay settles Transactions to the Merchant in fiat and does not return cryptocurrency through the Platform. EnterPay therefore does not facilitate refunds in cryptocurrency; how a refund is provided to a Customer is a matter between the Merchant and the Customer.

9.3 Blockchain transactions are irreversible, and EnterPay bears no liability for failed reversals.

/ 10AML, sanctions & compliance

10.1 Third-Party Providers conduct KYC/AML checks on Customers as required by law.

10.2 Merchants must not engage with sanctioned individuals, entities, or jurisdictions.

/ 11Data protection & privacy

EnterPay processes personal data in accordance with GDPR and its Privacy Policy.

/ 12Service modifications

EnterPay may, at any time, modify, update, limit, or discontinue any part of the Services. Where reasonably practicable, EnterPay will provide notice of material changes.

/ 13Intellectual property

All intellectual property rights in the Platform belong exclusively to EnterPay. Merchants receive a limited, non-exclusive, non-transferable right to use the Platform during the term of this Agreement.

/ 14Risk disclosure

Merchants acknowledge risks including cryptocurrency volatility, blockchain delays, Third-Party Provider failures, and regulatory changes. EnterPay provides no guarantees regarding transaction speed, settlement timing, or asset value.

/ 15Limitation of liability

15.1 EnterPay shall not be liable for indirect, incidental, or consequential losses.

15.2 EnterPay's total aggregate liability shall not exceed the fees paid by the Merchant in the preceding 12 months.

/ 16Indemnification

The Merchant agrees to indemnify and hold harmless EnterPay from any claims, fines, losses, or damages arising from the Merchant's business activities, regulatory violations, or customer disputes or misuse of the Platform.

/ 17Term & termination

17.1 Unless otherwise specified in a Commercial Annex, this Agreement operates on a month-to-month basis with no minimum term. Either party may terminate at any time with thirty (30) days' written notice. Subscription fees for the current billing month are not refunded on termination.

17.2 EnterPay may suspend or terminate this Agreement immediately in the event of breach, fraud, sanctions exposure, or compliance risk.

/ 18Force majeure

EnterPay shall not be liable for failures caused by events beyond reasonable control, including regulatory changes, network outages, or acts of government.

/ 19Governing law & jurisdiction

This Agreement is governed by the laws of the Republic of Estonia. The courts of Tallinn, Estonia have exclusive jurisdiction.
